By accessing or using the website at https://borealis.io or engaging Borealis for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services. We reserve the right to update these Terms at any time; continued use after changes constitutes acceptance.

Services

Borealis provides digital engineering services including web development, mobile application development, cloud infrastructure, AI/ML solutions, design systems, and digital strategy. Specific deliverables, timelines, and commercial terms are governed by individual Statements of Work or service agreements entered into between Borealis and the client.

Use of Website

• Prohibited Conduct — You must not attempt to gain unauthorised access to any part of the site, transmit malicious code, harvest data, or use automated tools to scrape content without permission.
• Accuracy — While we strive to keep information current, we make no warranties regarding the completeness or accuracy of website content.

Intellectual Property

Client deliverables are governed by the intellectual property clauses in the applicable service agreement.

Confidentiality

Any non-public information exchanged during the course of an engagement is treated as confidential. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law. Confidentiality obligations survive the termination of any engagement for a period of three (3) years.

Payment Terms

Fees for services are set out in the applicable Statement of Work or proposal. Unless otherwise agreed, invoices are payable within 30 days of issuance. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by Polish law, whichever is lower. Borealis reserves the right to suspend services for overdue accounts.

Warranties & Disclaimers

Borealis warrants that services will be performed with reasonable skill and care in accordance with industry standards. The website and any information provided through it are offered "as is" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or non-infringement. We do not warrant that the website will be uninterrupted or error-free.

Limitation of Liability

To the maximum extent permitted by applicable law, Borealis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or services. Our aggregate liability for any claim arising out of a service engagement shall not exceed the total fees paid by you in the 12 months preceding the claim.

Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable agreement. Borealis reserves the right to suspend or terminate access to this website at any time, without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties.

Governing Law & Disputes

These Terms are governed by the laws of Poland. Any disputes arising from these Terms or a service engagement shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the courts of Warsaw, Poland, which shall have exclusive jurisdiction, unless otherwise agreed in a service agreement.
